　　During the term of this Contract,all technical documentation,including but not limited to manufacturing technologies, procedures,methods,formulas,data,techniques and know-how, to be provided by one Party to the other shall be treated by the recipient as "Confidential Information".

　　本合同期间，合同一方向另一方所提供之所有技术性文件，包括但不限于生产技术、程序、方法、配方、数据、工艺以及专有技术，应被接受方视为“保密信息”对待及处置。

　　Each Party agrees to use Confidential Information received from the other party only for the purpose contemplated by this Contract and for no other purposes.

　　合同各方同意，对于从另一方获取之保密信息，其使用仅限于合同本身考虑之目的。

　　Confidential Information provided is not to be reproduced in any form except as required to accomplish the intent of, and in accordance with the terms of, this Contract.

　　所提供之保密信息，除合同目的及相应条款之要求，均不得以任何形式复制。

　　Title to such information and the interest related thereto shall remain with the provider all the time.

　　信息提供者应始终享有信息相应权利，并获取其相应利益。

　　Each Party shall provide the same care to avoid disclosure or unauthorized use of the other Party’s Confidential Information as it provides to protect its own similar proprietary information.

　　合同各方均应注意避免另一方所提供之保密信息被他人披露，抑或未经授权使用，以保证各方专有信息权利不受侵害。

　　Confidential Information must be kept by the recipient in a secure place with access limited to only such Party’s employees or agents who need to know such information for the purpose of this Contract and who have similarly agreed to keep such information confidential pursuant to a written confidentiality agreement which reflects the terms hereof.

　　保密信息须由接受者保管于安全之处，获得信息者仅限于该方根据合同目的需要了解该信息之员工或经纪人，以及签署与所涉条款有关书面保密协议并承诺对此类信息保密之该方员工或经纪人。

　　The obligations of confidentiality pursuant to this Article shall survive the termination or expiration of this Contract for a period of five (5) years.

　　本条款所涉相关保密义务在合同终止或期满5年内持续生效。
