GlaxoSmithKline has launched a multibillion poundrestructuring drive, including a potential flotation ofits HIV drugs business, in a push to win backshareholder support after a year marked bycorruption allegations and faltering sales.

Sir Andrew Witty, chief executive, said GSK would consider an initial public offering of aminority stake in ViiV Healthcare next year that would place it in the top half of the FTSE 100index as a standalone company, with a valuation of up to £15bn.

He also announced a cost-cutting programme aimed at saving an annual £1bn within threeyears and said the 2015 dividend would be held flat at this year’s 80p a share level, assuagingconcerns that the payout could be under threat. The measures represented a response tomounting shareholder unrest over GSK’s lacklustre financial performance, as well as falloutfrom the Chinese bribery scandal that resulted in a £300m fine last month.

Its shares rose 2.6 per cent but are still down 13 per cent in the past year, compared with adouble-digit rise in the wider healthcare sector.

Sir Andrew admitted it had been a “painful” year for GSK as its most important medicine –Advair for asthma – has faced increasing price pressure in the US. But the restructuringmeasures marked an attempt to get back on the front foot even as some big shareholders stepup pressure on GSK’s board.

Some are pushing for an acceleration of Sir Philip Hampton’s appointment as chairman after itwas announced last month that the outgoing chair of Royal Bank of Scotland would succeedSir Christopher Gent by next September.

One top-10 shareholder said Sir Christopher had been “an absentee landlord” during GSK’srecent troubles and that it “would be good to start the new year afresh with a new chairman”.

“It is never good to have a leadership vacuum at the top,” said Dan Mahony, fund manager atPolar Capital, which owns shares in GSK. “When things are going well maybe you could give ayear’s notice but not when you are facing the pace of change that is engulfing GSK.”

People close to GSK rejected the criticism of Sir Christopher, and said yesterday’s restructuringshowed that the board was working closely with management to reshape the business.
